• FATCA withholding: Sections 1471 through 1474 of the U.S. Internal Revenue Code of 1986 (“FATCA”) imposes a 30% withholding tax on certain “withholdable payments” made to (i) a foreign financial institution unless the financial institution complies with, among other things, certain information reporting and withholding obligations with respect to its accounts, and (ii) any other holder or beneficial owner of the DW that is not a foreign financial institution and does not comply with the Issuer’s or an intermediary financial institution’s request for ownership certifications and identifying information (“FATCA self-certification”). The DW Issuer and other intermediary foreign financial institutions may be required to report information regarding the holders of the DWs who (i) fail to provide the relevant information (FATCA self-certification) to the DW Issuer or an intermediary financial institution, or (ii) are foreign financial institutions who are not in compliance with applicable information reporting requirements. Since the Issuer is a “foreign financial institution” within the meaning of FATCA, it may be required to withhold 30% of any applicable payments made pursuant to the terms of the DW. The DW Issuer will not be required to pay any additional amounts with respect to amounts withheld in connection with FATCA. No assurance can be given that payments on the DWs will not be subject to withholding under FATCA. FATCA is particularly complex and you should consult your own professional tax adviser to obtain a more detailed explanation of FATCA and to determine how this legislation might affect you in your particular circumstances.
• U.S. backup withholding and information reporting: Because the S&P 500 Index is a U.S. index, any income generated from the DW may be considered U.S source income. If the DWs generate U.S. source income, a holder of the DW (whether a U.S. or non-U.S. holder) may be subject to U.S. backup withholding under the U.S. Internal Revenue Code of 1986 (“Code”) with respect to certain amounts paid to such holder, unless the holder provides a correct U.S. taxpayer identification number, establishes proof of an applicable exemption prescribed by the Code, or otherwise complies with applicable requirements of the backup withholding rules under the Code.
• Section 871(m) of the Code: Regulations under Section 871(m) of the Code impose a 30% withholding tax (subject to reduction under an applicable treaty) on deemed dividend amounts with respect to certain derivative contracts held by non-U.S. holders that (i) are issued on or after 1 January 2017, and (ii) reference U.S. equities or U.S. indices that include U.S. equities, such as the S&P 500 (unless such amounts are effectively connected with the holder’s conduct of a trade or business in the U.S.). The regulations provide an exception for qualified indices that satisfy certain criteria.

If it is Call DW, the S&P 500 Index is a qualified index and therefore the DWs are generally exempted from Section 871(m) of the Code. However, the S&P 500 Index may not be treated as a qualified index with respect to call DWs held by an individual investor if the investor also holds short positions in some U.S. equities included in the S&P 500 Index and the value of such short positions is equal to more than 5% of the value of their long positions in the call DWs. As a result, you are urged to consult your tax advisor with respect to your individual situation regarding the potential application of Section 871(m) of the Code and the 30% withholding tax to an investment in the DWs.

If it is Put DW, the S&P 500 Index is a qualified index and therefore the DW are exempted from Section 871(m) of the Code.

ในการเข้าร่วมกิจกรรมการแข่งขันครั้งนี้ ผู้เข้าร่วมกิจกรรมแต่ละรายแสดงความยินยอมให้แมคควอรีรวบรวม ใช้ เปิดเผย จัดเก็บ และ/หรือ ประมวลผลข้อมูลส่วนบุคคลได้ทั้งหมด โดยไม่มีการเรียกร้อง หรือชดเชยค่าเสียหายใดๆ เพิ่มเติมนอกเหนือจากวัตถุประสงค์ของกิจกรรมการแข่งขัน หากผู้เข้าร่วมกิจกรรมนั้นๆ เป็นผู้ชนะ ผู้เข้าร่วมกิจกรรมรายนั้นๆ แสดงความยินยอมว่าแมคควอรีอาจใช้ชื่อ, ภาพถ่าย และข้อมูลส่วนบุคคลของผู้เข้าร่วมกิจกรรมรายนั้นๆ เพื่อส่งเสริมกิจกรรมการแข่งขันในเว็บไซต์ และ/หรือ รวมถึงการเผยแพร่ข้อมูลผ่านช่องทางของแมคควอรี และ/หรือ พันธมิตรในเครือ ผู้เข้าร่วมกิจกรรมรายนั้นๆ แสดงความยินยอมให้แมคควอรีถ่ายโอนข้อมูลส่วนบุคคลไปยังผู้ให้บริการ หรือตัวแทน ทั้งใน และนอกประเทศไทย เพื่อวัตถุประสงค์ในการบริหาร และส่งเสริมกิจกรรมการแข่งขัน และ/หรือ ในเว็บไซต์ นอกเหนือจากตามที่ระบุไว้ข้างต้น รายละเอียดข้อมูลยืนยันตัวตนของคุณจะไม่ถูกนำไปใช้หรือเปิดเผยเพื่อวัตถุประสงค์ในการส่งเสริมการขาย ในกรณีที่ผู้เข้าร่วมกิจกรรมไม่ต้องการให้ข้อมูล และ/หรือ ถูกเผยแพร่โดยแมคควอรี และ/หรือ พันธมิตรในเครืออื่นๆ ผู้เข้าร่วมกิจกรรมสามารถส่งคำร้องถอนความยินยอมได้ที่ dw28@macquarie.com
